Terms and Conditions

This service operates from Mexico. These Terms are governed by Mexican law. The Spanish version of this document prevails in case of any discrepancy.
1. Parties to the agreement
This document establishes the Terms and Conditions (hereinafter "T&C") applicable to the engagement of services provided by Consultor Neural (hereinafter "Wellness Total" or "Provider"), with RFC COAO740817289, and any individual or legal entity (hereinafter "Client") contracting services through the site wellnesstotal.tech, via WhatsApp, email, or other enabled channels.
By engaging any service, the Client fully accepts these T&C. If you have questions before engaging, please write to oscar@wellnesstotal.tech.
2. Services offered
Wellness Total offers three service lines:
- AI Automation: design, development, and implementation of automated workflows with n8n, AI agents, RAG chatbots, and data processing pipelines.
- IT Department (maintenance plans): preventive and corrective maintenance of computer equipment, remote and on-site support, AI monitoring, cloud backup.
- Vibe Coding (web design): development of websites and web applications with modern stack (Astro, Next.js, FastAPI, TailwindCSS), including design, technical SEO, and deployment.
The specific scope of each project is defined in the technical specification document (Spec) signed by both parties before any work begins.
3. Engagement process
- Diagnosis (free): 30-minute call at no cost and no commitment.
- Spec & Quote: technical document with scope, deliverables, stack, timeline, and fixed price, delivered within 1-3 business days. The Spec is binding once signed by both parties.
- Project start: upon receipt of the initial payment per the agreed conditions.
- Delivery: per the Spec timeline. Deliverables include source code, credentials, and technical documentation.
4. Pricing and payment terms
4.1 Automation and vibe coding projects
- Fixed price per project, established in the Spec.
- Standard payment: 60% upon signing the Spec, 40% upon final delivery.
- Prices are expressed in MXN and do not include VAT.
- Prices subject to change without prior notice.
4.2 IT maintenance plans
- Monthly billing, month to month.
- Service begins upon receipt of the first monthly payment.
- Cancellation with 30 calendar days' prior notice, no penalty.
4.3 Additional services (out of Spec)
Any service not contemplated in the original Spec will be quoted as an addendum with a fixed price before execution. No additional work is performed without prior quote approved by the Client.
5. Deliverables and intellectual property
Once 100% of the agreed price has been settled, the Client receives full ownership of: the project source code, exported n8n workflows, credentials of accounts created in the project's name, technical documentation, and digital assets generated for the project.
Wellness Total retains the right to use the project as a portfolio reference and case study, without revealing the Client's confidential data, unless the Client expressly requests otherwise.
Third-party tools, frameworks, and libraries (n8n, Supabase, Tailwind, etc.) are subject to their own licenses. Wellness Total cannot transfer more rights than those licenses grant.
6. Confidentiality
Both parties undertake to keep confidential any information marked as sensitive or that, by its nature, is reasonably confidential (client data, business strategy, credentials, financial information).
For projects involving health data, regulated financial data, or information subject to a specific NDA, a separate confidentiality agreement is signed before work begins.
7. Limitation of liability
Wellness Total shall not be liable for indirect, incidental, special, or consequential damages arising from the use or inability to use the delivered systems, including but not limited to: loss of income, loss of data, business interruption, or damage to third parties.
Wellness Total's maximum liability for any claim shall not exceed the total amount paid for the specific project or service to which the claim relates.
Wellness Total does not guarantee that third-party services integrated into the systems (Meta, Twilio, OpenAI APIs, etc.) are always available or function without interruptions, as they are subject to their respective providers' policies.
8. Service warranties
- Projects: 30 days of adjustments at no additional cost after final delivery, for corrections within the original Spec scope.
- IT Plans: response times per the contracted plan (Essential 24h, Business 8h, Enterprise 4h), on business days from 9 AM to 7 PM.
- Warranties do not cover damage caused by improper use, unauthorized modifications to the code or systems by the Client, or third-party service failures.
9. Service termination
IT Plans
Cancellable with 30 days' notice. No penalty. The Client's data and history are delivered in standard format within 15 business days after cancellation.
Ongoing projects
If the Client cancels an ongoing project, they will pay for the work performed up to the cancellation date, calculated proportionally to progress. The work performed up to that point is delivered to the Client.
Wellness Total may rescind the contract if the Client defaults on payment or acts in bad faith, with 5 business days' prior notice.
10. Governing law and jurisdiction
These T&C are governed by the laws of the United Mexican States. For any dispute, the parties agree to submit to the jurisdiction of the competent courts of Metepec, Estado de México, waiving any other jurisdiction that may correspond to them by reason of their present or future domicile.
11. Modifications
Wellness Total reserves the right to modify these T&C. Changes shall take effect 30 days after their publication on wellnesstotal.tech and will be notified by email to active clients. Continued use of the services implies acceptance of the new terms.
